These Terms & Conditions (“Terms”) govern your use of ClerqFlow (“we,” “our,” “us”) and our services. By booking a call, engaging our services, or otherwise working with us, you agree to be legally bound by these Terms. Please read them carefully.
Using our Services
1. Scope of ServicesWe provide performance-based marketing services designed to help early-stage founders and startups grow user acquisition. Our services may include, but are not limited to:Campaign strategy and audience researchAd copywriting and creative productionCampaign setup, launch, optimisation, and split testingPerformance tracking and reportingConversion rate optimisation (CRO) suggestionsWe do not guarantee specific results, including ROAS (Return on Ad Spend), sales volume, or number of signups, as these depend on factors outside of our control (market conditions, product quality, pricing, offer strength, ad platform fluctuations, etc.).2. Ad Spend & PaymentsAd Spend: You are responsible for directly funding all ad spend on chosen platforms (e.g., Meta, TikTok, LinkedIn). We will never charge ad spend to our own accounts on your behalf unless expressly agreed in writing.Service Fees: Our performance-based model means you only pay an agreed-upon percentage of revenue generated or a flat service fee once results have been delivered, as outlined in your signed agreement.Late Payments: Invoices are due within 7 days of issue unless otherwise agreed. Overdue payments may incur interest at 8% above the Bank of England base rate in line with the UK Late Payment of Commercial Debts Act 1998.3. Client ResponsibilitiesYou agree to:Provide accurate, truthful, and complete information about your business, offers, and target audience.Ensure your product or service complies with all relevant laws, including advertising, consumer protection, and privacy regulations.Grant necessary access to ad accounts, websites, and analytics tools within a reasonable timeframe.Respond to communications promptly to avoid delays in campaign execution.4. Intellectual PropertyYours: You retain all rights to your brand assets, product content, and data.Ours: We retain ownership of campaign frameworks, ad creative templates, and other proprietary systems we create. You receive a non-exclusive licence to use them for the duration of the engagement.5. ConfidentialityBoth parties agree to keep all business, marketing, and performance data confidential and not disclose it to third parties without written consent, except as required by law.6. Data Protection & PrivacyWe comply with the UK GDPR and Data Protection Act 2018. Any personal data collected during our engagement will be processed lawfully and securely. Limitation of LiabilityTo the maximum extent permitted by law, ClerqFlow shall not be liable for any:Loss of profit, revenue, or businessIndirect or consequential damagesLosses caused by third-party ad platform outages, bans, or algorithm changesOur total liability under this agreement shall not exceed the total amount you paid to us in service fees in the 3 months preceding the claim.8. TerminationEither party may terminate this agreement with written notice. Any campaigns already launched or costs incurred prior to termination remain payable.9. Governing LawThese Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
Your Account
When working with ClerqFlow, you may be required to create or grant access to third-party accounts (e.g., Meta Business Manager, TikTok Ads, Google Analytics, Stripe). By doing so, you agree to the following:Account Ownership: You remain the sole owner of your ad accounts, websites, and any related properties. We will never claim ownership over them.Access & Permissions: You must provide us with sufficient access to manage campaigns effectively (admin or advertiser permissions, as agreed). Failure to provide access may delay or limit campaign performance, and we will not be responsible for missed outcomes caused by insufficient permissions.Security: You are responsible for maintaining the security of your accounts, including setting secure passwords, enabling two-factor authentication, and monitoring for suspicious activity.Compliance: You agree to ensure your accounts are in good standing and comply with the terms of service of the platforms we use (Meta, Google, TikTok, etc.). If your accounts are suspended or banned due to policy violations unrelated to our actions, we will not be held liable.Revocation of Access: You may revoke our access at any time by removing our permissions from your account(s). Doing so before campaign completion may result in incomplete delivery, for which you remain financially responsible for work already performed.
Your Content in our Services
When you provide us with any content, data, or materials (including text, images, video footage, logos, testimonials, ad copy, product information, or other creative assets), you agree to the following:Ownership & Rights: You confirm that you own or have the legal right to use all content you provide and that our use of this content will not infringe on the rights of any third party.License to Use: By providing content, you grant ClerqFlow a non-exclusive, worldwide, royalty-free license to use, modify, adapt, and publish that content for the purpose of creating and running your campaigns.Accuracy: You are responsible for ensuring that all information provided (product details, pricing, claims, testimonials, etc.) is accurate, truthful, and compliant with applicable laws and advertising regulations.Liability: ClerqFlow is not responsible for any legal issues, customer complaints, or regulatory action that result from inaccurate, misleading, or unlawful content you provide.Content Safety: We may refuse to use any content we deem offensive, illegal, harmful, or in violation of advertising platform policies.

Using our Services
When you use our services (including booking calls, sharing campaign data, or running ads through us), we collect and process information to deliver and improve those services. This includes:Personal data you provide (name, email, business information, billing details).Campaign-related data you share with us (ad account access, creatives, landing pages, etc.).Technical data like IP address, browser type, and analytics to monitor performance and security.We use this data to:Deliver the campaigns and services you requested.Communicate with you about your projects and performance reports.Improve our systems and processes.Comply with legal obligations.We do not sell your data to third parties. Data may be shared with trusted service providers (e.g. ad platforms, analytics tools, payment processors) where necessary to run your campaigns.
Your Account
If you, book a call, or provide login access to ad platforms, you are responsible for:Providing accurate, up-to-date information.Securing your login details and accounts you give us access to.Not sharing access credentials with unauthorised parties.We take reasonable measures to protect your data, but you are ultimately responsible for maintaining the confidentiality of your accounts. If you suspect unauthorised access, notify us immediately at [your email] so we can investigate and take action.
Your Content in our Services
When you provide us with content (images, video assets, ad copy, product descriptions, customer lists, or other materials), you retain all rights to that content. By sharing it with us, you grant us a limited license to use it solely for the purpose of delivering our services (e.g., running ad campaigns, creating creatives).You confirm that:You own or have permission to use the content you provide.The content does not infringe on third-party rights, violate any laws, or contain harmful material.We may store copies of your content securely for campaign continuity, performance tracking, and legal compliance, but we will delete or return it upon request after services end (except where required by law to retain).
